Introduction and Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and SNKB Intellica LLP, a limited liability partnership incorporated under the laws of India ("SNKB Intellica", "Company", "we", "us", or "our").

While SNKB Intellica endeavours to provide accurate educational content, it does not guarantee any specific academic results, examination outcomes, employment opportunities, admissions, promotions, or career achievements.

Payment Terms

Certain Services may require payment of fees.

You agree that:

All fees shall be paid in accordance with the applicable pricing terms;
Payment information provided by you shall be accurate;
You shall not use fraudulent payment methods;
Taxes, if applicable, shall be borne as per applicable laws.

Payments may be processed through authorised third-party payment gateways. SNKB Intellica does not store sensitive financial information such as card PINs, passwords, CVV numbers, or banking authentication credentials.

Intellectual Property Rights Protection

All Intellectual Property Rights, including but not limited to copyrights, trademarks, trade names, logos, designs, patents, software rights, trade secrets, proprietary methodologies, databases, course materials, educational content, recorded lectures, videos, audio content, study materials, training modules, assessments, question banks, website design, technology platforms, and other materials provided through the Services, are owned by or licensed to SNKB Intellica LLP.

Nothing contained in these Terms shall be construed as transferring, assigning, or granting any ownership rights in such Intellectual Property Rights to any User. Subject to the User's compliance with these Terms and payment of applicable fees, SNKB Intellica grants the User a limited, non-exclusive, non-transferable, non-sublicensable licence to access and use the Content solely for personal, non-commercial educational purposes. This licence does not create any ownership interest or rights in favour of the User.

Users shall not, without the prior written consent of SNKB Intellica, copy, reproduce, distribute, publish, transmit, modify, adapt, create derivative works from, sell, commercially exploit, record, download, screen-capture, share, or redistribute any Content made available through the Services.

Users shall not use SNKB Intellica's trademarks, logos, brand names, proprietary materials, or technology for any unauthorised purpose. Any unauthorised use, reproduction, distribution, or exploitation of SNKB Intellica's Intellectual Property shall constitute a violation of these Terms and may result in legal action and remedies available under applicable Indian laws, including remedies for infringement of Intellectual Property Rights.

EdgeX is a brand and trademark of SNKB Intellica LLP and shall not be used by any unauthorized person/company for any commercial or non-commercial purpose.

User Content

Where Users submit, upload, share, publish, or provide any content through the Services, including but not limited to assignments, feedback, reviews, comments, suggestions, questions, or other materials ("User Content"), the User represents and warrants that such User Content is accurate, lawful, does not infringe upon the rights of any third party, and that the User has obtained all necessary rights, licences, and permissions required for such submission.

The User retains ownership of the User Content submitted by them; however, by submitting such User Content, the User grants SNKB Intellica a limited, non-exclusive, royalty-free licence to access, use, reproduce, store, process, and display such User Content solely for the purpose of providing, administering, improving, analysing, and securing the Services. SNKB Intellica shall not use User Content for any unrelated commercial purpose without obtaining appropriate consent, where required under applicable law.

SNKB Intellica reserves the right to remove, restrict access to, or refuse any User Content that violates these Terms, applicable laws, third-party rights, or community standards established by the Company.

User Conduct

Users agree to use the Services responsibly, lawfully, and only for their intended educational purposes. Users shall not engage in any activity that violates applicable laws, infringes third-party rights, compromises platform security, or negatively affects the experience of other users. Users shall not provide false, misleading, or fraudulent information; impersonate another person; engage in cheating, plagiarism, examination malpractice, or unauthorised collaboration; attempt to gain unauthorised access to the Company's systems or accounts; introduce viruses, malware, harmful code, or other security threats; interfere with the operation, availability, or integrity of the Services; copy, misuse, distribute, or commercially exploit educational content; harass, threaten, or abuse other users, instructors, employees, or representatives of SNKB Intellica; or use the Services for any unlawful, unauthorised, or prohibited purpose.

SNKB Intellica reserves the right to investigate violations, restrict access, suspend or terminate user accounts, remove prohibited content, and take appropriate legal action where necessary to protect its rights, users, platform, and services.

Privacy and Personal Data

The collection and processing of Personal Data shall be governed by our Privacy Policy, which forms an integral part of these Terms.

By using the Services, you acknowledge and consent to processing of Personal Data in accordance with applicable Indian data protection laws.

Confidentiality

This obligation shall survive termination of these Terms.

Indemnification

You agree to indemnify, defend, and hold harmless SNKB Intellica LLP, its partners, employees, officers, affiliates, representatives, instructors, consultants, and service providers from and against any and all claims, demands, proceedings, actions, damages, losses, liabilities, penalties, costs, and expenses, including reasonable legal fees and expenses, arising out of or relating to your breach of these Terms, violation of any applicable laws or regulations, misuse or unauthorised use of the Services, infringement or alleged infringement of any third-party Intellectual Property Rights, unauthorised access to or use of your account, any content or material submitted, uploaded, shared, or provided by you through the Services, or any negligent, fraudulent, unlawful, or wilful act or omission committed by you.

This indemnification obligation shall survive the termination or expiry of these Terms and shall continue to apply to any claims, liabilities, or proceedings arising from your acts or omissions during your use of the Services.

Disclaimer of Warranties

The Services, including all educational content, materials, features, and related resources, are provided by SNKB Intellica LLP on an "as available" and "as is" basis, without any express or implied warranties, representations, or guarantees except as expressly stated in these Terms or required under applicable law.

To the maximum extent permitted under applicable Indian laws, SNKB Intellica does not warrant or guarantee that the Services will be uninterrupted, timely, secure, or completely free from errors, defects, technical issues, or inaccuracies. The Company does not represent or warrant that all educational Content provided through the Services will always be complete, accurate, current, or free from errors, or that any corrections to such Content will be made immediately.

SNKB Intellica does not guarantee any specific educational, academic, examination, employment, admission, professional, or career-related outcomes from the use of its Services. Users acknowledge that individual results may vary depending upon their participation, effort, learning ability, external factors, and other circumstances beyond the reasonable control of SNKB Intellica.

Limitation of Liability

To the maximum extent permitted under applicable Indian laws, SNKB Intellica LLP, its partners, employees, affiliates, instructors, representatives, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of business opportunities, loss of data, loss of goodwill, or any other damages arising out of or relating to your access to or use of the Services.

SNKB Intellica shall not be responsible for any losses or damages resulting from interruptions, technical failures, internet connectivity issues, third-party service failures, unauthorised access, user negligence, misuse of the Services, reliance on educational content, or outcomes arising from participation in courses, assessments, certifications, or learning programmes.

The Services are provided for educational and informational purposes, and SNKB Intellica does not guarantee any specific academic results, examination success, employment opportunities, admissions, professional advancement, or other outcomes. To the extent permitted by law, the maximum aggregate liability of SNKB Intellica arising out of or relating to these Terms, the Services, or any claim shall be limited to the amount actually paid by the User for the specific Service giving rise to the claim.

Suspension and Termination

SNKB Intellica may suspend or terminate access to Services where:

The User breaches these Terms;
Fraudulent or unlawful activity is suspected;
Intellectual Property Rights are violated;
Continued access creates security or operational risks.

Termination shall not affect accrued rights and obligations.

Force Majeure

SNKB Intellica shall not be liable for failure or delay in performance caused by events beyond reasonable control, including natural disasters, government actions, internet failures, cyber incidents, technical failures, labour disputes, or other circumstances beyond reasonable control.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of courts located at Surat, Gujarat, India.

Severability

If any provision of these Terms is held invalid or unenforceable by a competent court, the remaining provisions shall continue to remain valid and enforceable.

Waiver

Failure by SNKB Intellica to enforce any provision of these Terms shall not constitute a waiver of its right to enforce such provision subsequently.

Amendments

SNKB Intellica reserves the right to modify these Terms from time to time. Updated Terms shall be published on our website with the revised effective date. Continued use of Services after such changes shall constitute acceptance of the revised Terms.
